Transfer pricing documentation requirements in Southern Africa.

Transfer pricing documentation is the foundation of a defensible cross border tax position. Across Southern Africa, tax authorities have steadily raised their expectations, and groups operating in the region should treat documentation as a year-round discipline rather than a year-end exercise.

The regional documentation landscape

Many Southern African jurisdictions have adopted the OECD's three-tiered approach in principle, while applying local thresholds, deadlines and language requirements. A group that prepares a single master file for the whole region still needs local files that reflect each country's specific rules and the local entity's facts.

  • Master file, a group-level overview of the business, intangibles, financing and transfer pricing policies.
  • Local file, entity-level detail on controlled transactions, functional analysis and benchmarking.
  • Country-by-Country Report, required for groups above the consolidated revenue threshold.

Where groups most often fall short

The most common weaknesses are not missing documents but thin analysis: a functional analysis that does not match how the business actually operates, or benchmarking that is not refreshed for current market conditions.

Audit readiness

  • Keep contemporaneous documentation that is finalised by the filing deadline, not reconstructed during an audit.
  • Maintain intercompany agreements that reflect actual conduct.
  • Retain the working papers behind every benchmarking search.

“Good documentation does not just satisfy a filing requirement; it is the first and best line of defence in an audit.”
